Captio Terms of Service

These Terms govern access to and use of Captio, Highstack's operating platform for lead management, CRM, automation, integrations, and artificial intelligence.
Highstack is the parent company and provider of Captio. Captio is not a separate legal entity unless Highstack expressly states otherwise.
1. Identification

In these Terms, "Highstack," "we," or "our" refers to the entity indicated above. "Captio" refers to the SaaS platform. "Customer" refers to the organization that subscribes to or uses Captio. "User" refers to any person authorized by a Customer to access Captio. "Lead" or "Contact" refers to the person whose data is managed within Captio.
2. Acceptance
By creating an account, accessing Captio, inviting users, setting up an organization, using an integration, submitting data, or subscribing to a plan, you accept these Terms, the Privacy Policy, and, where applicable, Captio's Data Processing Agreement.
If you act on behalf of an organization, you represent that you have sufficient authority to bind it.
3. What Captio Is
Captio is an operating platform designed to help businesses capture, organize, nurture, and convert leads.
Its features may include:
- Public forms and landing pages.
- Campaign management.
- Customizable pipelines.
- Drag-and-drop interface and real-time updates.
- AI-assisted lead scoring.
- Summaries, recommendations, and email suggestions.
- Event-driven automations.
- Tasks, reminders, and assignments.
- Inbound and outbound webhooks.
- Integrations with Meta, Facebook, Instagram, WhatsApp, Gmail, Zapier, and custom APIs.
- Multi-organization management, roles, permissions, and audit logs.
- Analytics, exports, and reports.
Available features may vary depending on the plan, configuration, enabled integrations, technical limits, and applicable contract.
4. Accounts, Organizations, and Users
The Customer is responsible for:
- Keeping account information accurate and up to date.
- Managing users, roles, permissions, and invitations.
- Protecting passwords, tokens, API keys, OAuth credentials, and devices.
- Notifying us of any unauthorized access or security incident.
- Ensuring each User complies with these Terms.
- Properly configuring automations, webhooks, integrations, and permissions.
Highstack may suspend or restrict access if it detects security risks, abuse, legal non-compliance, unauthorized use, or harm to the platform.
5. Customer Data
The Customer retains ownership of the data it uploads, captures, submits, or processes through Captio, including lead and contact data, campaigns, communications, files, notes, custom fields, and configurations.
The Customer grants Highstack a limited, non-exclusive, worldwide license to host, process, transmit, back up, analyze, and display that data solely to the extent necessary to provide, protect, maintain, and improve Captio, follow the Customer's instructions, or comply with legal obligations.
The Customer represents and warrants that it:
- Has the right, authorization, and legal basis to collect, upload, and process the data.
- Has provided privacy notices and obtained consents where required.
- Complies with applicable privacy, data protection, marketing, telecommunications, e-commerce, and commercial communications laws.
- Will not upload sensitive or regulated data without a sufficient legal basis and a written agreement with Highstack.
6. Privacy and Data Processing
The processing of personal data is governed by the Privacy Policy.
When Captio is used by a Customer to manage its own leads' or contacts' data, the Customer typically acts as the data controller and Highstack as the processor or service provider. In that case, Captio's Data Processing Agreement applies, unless the parties sign a different agreement.
7. Integrations and Third-Party Services
The Customer may connect Captio with external platforms such as Meta, Facebook, Instagram, WhatsApp, Gmail, Zapier, its own systems, APIs, and webhook destinations.
The Customer acknowledges that:
- Third-party integrations are subject to their own terms, policies, and limits.
- Highstack does not control the availability, security, API changes, pricing, or decisions of third parties.
- By enabling an integration, the Customer authorizes the data exchange necessary for it to function.
- The Customer is responsible for configuring minimal permissions, reviewing OAuth scopes, securing endpoints, and complying with each third party's policies.
Highstack may disable integrations that create risk, abuse, non-compliance, service degradation, or that a third-party provider instructs us to disable.
8. Webhooks and APIs
Captio may send and receive data via webhooks and APIs.
The Customer is responsible for:
- Configuring correct, available, and secure endpoints.
- Validating HMAC signatures and other authentication mechanisms.
- Protecting secrets, tokens, and credentials.
- Reviewing payloads before sending them to external systems.
- Complying with applicable laws when transferring data outside Captio.
Highstack may log deliveries, responses, errors, and retry attempts for auditing, support, and diagnostics. We do not guarantee that a webhook will be received, processed, or accepted by external systems.
9. AI and Automation
Captio may include AI features for scoring, summaries, sentiment analysis, recommendations, email suggestions, prioritization, and conversation flows.
The Customer agrees that:
- AI outputs may be inaccurate, incomplete, or unsuitable for every context.
- Users must review outputs before using or sending them.
- Highstack does not guarantee conversions, revenue, sales, predictive accuracy, or specific business outcomes.
- The Customer must not use AI for illegal, discriminatory, abusive, or high-impact decisions without human oversight and adequate legal safeguards.
- The Customer is responsible for content sent to its leads or customers, even if AI-assisted.
10. Acceptable Use
The Customer and its Users must not:
- Use Captio for illegal, fraudulent, deceptive, or abusive activities.
- Send spam, phishing, malware, unsolicited communications, or content that violates marketing or telecommunications laws.
- Capture, import, or process data without authorization or a legal basis.
- Infringe third parties' privacy, intellectual property, confidentiality, or image rights.
- Attempt to access accounts, data, systems, or networks without authorization.
- Interfere with Captio's security, availability, performance, or integrity.
- Perform scraping, crawling, unauthorized penetration testing, reverse engineering, or bypass limits.
- Resell, sublicense, or commercially exploit Captio beyond what the contract permits.
- Upload sensitive, minors', or highly regulated data without a written agreement and adequate safeguards.
- Use Captio to build discriminatory profiles or high-impact automated decisions without a legal basis.
Highstack may suspend or terminate access if it reasonably believes there is non-compliance, legal risk, security risk, or harm to third parties.
11. Plans, Limits, and Payments
Captio may offer plans such as Freemium, Pro, Agency, or others. Each plan may include limits on users, leads, organizations, campaigns, automations, storage, integrations, support, API, or event volume.
Unless stated otherwise:
- Prices, limits, and features may change with reasonable notice.
- Fees do not include taxes, bank fees, or third-party charges.
- The Customer must pay accepted amounts on time.
- Failure to pay may result in suspension, degradation, or termination of service.
- Charges for subscriptions, implementation, migration, customization, or support are non-refundable unless the contract states otherwise.
Specific billing terms will prevail if set out in an accepted proposal, contract, or service order.
12. Availability, Maintenance, and Support
Highstack will strive to keep Captio available, secure, and continuously improved. However:
- Maintenance, updates, outages, errors, or degradations may occur.
- Some features depend on third parties, networks, cloud providers, APIs, or external integrations.
- We may modify, improve, replace, or remove features for security, compliance, performance, or product evolution reasons.
Any SLA, dedicated support, service hours, or downtime credit must be expressly stated in writing.
13. Data Export and Deletion
Where technically possible and permitted by the plan, the Customer may export data from Captio using available features or a reasonable request.
After termination, Highstack may retain data for as long as necessary for legal compliance, security, auditing, dispute resolution, backups, and contractual obligations. It may then delete or anonymize it according to its processes.
14. Intellectual Property
Highstack retains all rights to Captio, including code, design, architecture, documentation, models, APIs, workflows, interfaces, trademarks, trade names, templates, components, prompts, methodologies, and features.
The Customer retains rights to its own data, trademarks, content, campaigns, and materials.
Use of Captio does not transfer any intellectual property rights over the platform to the Customer. Highstack grants the Customer a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use Captio for the term of the applicable plan or contract.
15. Confidentiality
Each party may receive confidential information from the other. The receiving party shall use it only to fulfill the business relationship, protect it with reasonable care, and not disclose it to third parties except with authorization, under confidentiality for an operational need, or as required by law.
Confidentiality does not apply to information that is public, already lawfully known, received from a third party without a duty of confidentiality, or independently developed.
16. Warranties and Disclaimers
Except for express warranties in a signed contract:
- Captio is provided "as is" and "as available."
- Highstack does not warrant that Captio will be uninterrupted, error-free, free of vulnerabilities, compatible with all systems, or fit for every purpose.
- Highstack does not warrant specific business outcomes, increased sales, conversions, rankings, revenue, savings, predictive accuracy, or campaign success.
The Customer is responsible for evaluating whether Captio fits its needs, regulations, and internal processes.
17. Limitation of Liability
To the maximum extent permitted by law, Highstack will not be liable for indirect, incidental, special, or punitive damages, lost profits, lost revenue, lost data, business interruption, loss of reputation, or third-party claims.
Except for willful misconduct, gross negligence, or liability that cannot be limited by law, Highstack's total aggregate liability for any claim related to Captio will not exceed the amount the Customer paid Highstack for Captio during the 3 months prior to the event giving rise to the claim.
18. Indemnification
The Customer will indemnify Highstack against claims, penalties, damages, costs, or expenses arising from:
- Misuse of Captio.
- Data uploaded, submitted, or processed by the Customer.
- Violation of privacy, marketing, telecommunications, intellectual property, or consumer protection laws.
- Communications sent to leads, customers, or third parties.
- Integrations, webhooks, endpoints, or external systems configured by the Customer.
- Breach of these Terms or the applicable contract.
19. Suspension and Termination
The Customer may stop using Captio or request account closure through available mechanisms or the applicable contract.
Highstack may suspend or terminate access if:
- These Terms are breached.
- Payment is overdue.
- Security risk, fraud, abuse, spam, or illegal activity is detected.
- Required by an authority, third-party provider, or applicable regulation.
- Continued service could harm Highstack, other customers, or third parties.
After termination, the Customer must stop using Captio and pay any outstanding amounts. Data processing, export, or deletion will follow the contract, the Privacy Policy, the applicable DPA, and technical backup cycles.
20. Changes to These Terms
We may update these Terms to reflect legal, technical, business, or product changes. We will publish the updated version with its last-updated date.
If changes are material, we will make reasonable efforts to give notice. Continued use of Captio after changes take effect constitutes acceptance of the new Terms.
21. Governing Law and Dispute Resolution
These Terms are governed by the laws of Ecuador, unless a signed contract states otherwise or mandatory rules apply.
Before initiating formal action, the parties will make good-faith efforts to resolve any dispute through direct negotiation for at least 30 days.
If unresolved, the dispute will be submitted to the competent courts of Cuenca, Ecuador, unless the applicable contract establishes arbitration, mediation, or another mechanism.
